Carefully read Southern Medical Health Systems, Inc. and Springhill Health Services, Inc. v. Vaughan, 669 So.2d 98 (1995), a breach of employment contract case, in which Southern Medical Health Systems’ board of directors terminated its Chief Financial Officer Mr. Vaughan’s employment for “deceiving the corporation,” violating IRS codes in expense accounting, exercising poor judgments in the corporate funds investment, and paying too little attention to the tasks assigned to his position.
